• RELEASE OF CLAIM The new Creditor agrees to release all future claims related to this account against the Borrower pertaining to the principal debt acquired through the Originator upon satisfaction of the Agreement in accordance with the REPAYMENT SCHEDULE. The creditor reserves to process any declined payment for up to five business days after payment due date without the need for a new agreement.

The insolvency of the Borrower.
▪
A misrepresentation by the Borrower to the Creditor for the purpose of obtaining or extending credit.
▪
Reversal of funds via charge-back or ACH cancellation on any date following the initial payment date.
• SEVERABILITY OF PROVISIONS
◦ If any one or more of the provisions of the Agreement are determined to be unenforceable, in whole or in part, for any reason, the remaining provisions shall remain fully operative.
• MISCELLANEOUS
◦ No delay in enforcing any right of the Creditor under the Agreement, or assignment by the Creditor of the Agreement, or failure to accelerate the debt evidenced hereby by reason of default in the payment of a monthly installment or the acceptance of a past due installment shall be construed as a waiver of the right of the Creditor to thereafter insist upon strict compliance with the terms if the Agreement without notice being given to the Borrower.
All rights of the Creditor under the Agreement are cumulative and may be exercised concurrently or consecutively at the Creditor's option. The agreement may not be amended without the written approval of the Creditor.
