Employment Agreement

Introduction:

The purpose of this Employment Agreement is to set out the terms and conditions of the relationship between an Employer and an Employee. It states the obligations they have to each other and the benefits they will receive from each other. Each Agreement must be tailored to suit an individual employment relationship.

RECITALS

WHEREAS, the Employee is willing to enter into this Agreement and employment with the Company upon the conditions and terms herein set forth;

NOW THEREFORE, for the valuable consideration set forth in this Agreement and intending to be legally bound, the Employee and the Company mutually promise and agree as follows:

1. EMPLOYMENT

1.1. Employer employs, engages, and hires Employee as a Logistics Agent, and Employee accepts and agrees to such hiring, engagement, and employment subject to the general supervision and pursuant to the orders, advice, and direction of Employer.

1.2. Employee accepts employment with the Corporation upon the terms set forth below and agrees to devote all Employees’ time, energy and ability to the interests of the Corporation, and to perform Employee’s duties in an efficient, trustworthy and business-like manner.

1.3. The Employee shall devote the Employee's best efforts and substantially all of the Employee's working time to performing the duties on behalf of the Corporation. The Employee shall provide services during the hours that are scheduled by the Corporation management. The Employee shall be prompt in reporting to work at the assigned time.

2. TERM OF EMPLOYMENT

2.1. This Agreement for employment by and between the parties shall be an Agreement for employment at will commence on the date hereof, subject to immediate termination by either party with notice.

Nothing contained in this Agreement shall be construed to prevent the Company from terminating the employment of the Employee hereunder at any time for cause. As used in this Agreement, "termination for cause" shall mean a termination based upon the dishonesty, gross negligence, incompetence or moral turpitude of the Employee or any failure to perform his duties hereunder or otherwise comply with and observe the covenants and agreements made by him herein.

2.2. Employee is not prohibited from making personal investments in any other businesses and Employee is not prohibited occur full-time or other position in any other business.

3. COMPENSATION OF EMPLOYEE

3.1. Base Salary. Employer shall pay Employee, and Employee shall accept from Employer, in full payment for employee’s services under this Agreement, compensation at the rate of $37,200.00 USD, per year, which is net payment , payable once a month $3 100 by equal parts each month while this Agreement shall be in force.

3.2. Commission. In addition to his Base Compensation, the Employee will be entitled to the following performance incentives during the time he is employed by the Company:

3.2.1. A sales commission of seven percent (7%) of the gross amount of all sales to new customers with whom it was the Employee who made the initial contact on behalf of the Company. From time to time, the Company may also designate existing customers as accounts of the Employee, for which the Employee will earn Sales Commissions at the above rate. Sales Commissions earned will be paid upon the completion of each respective project (i.e., when all work has been completed and the customer's invoices relating thereto have been fully paid).

3.3. Overtime. Employee shall receive overtime compensation.

3.4. The Employee’s rate of pay shall be reviewed annually if promotion doesn't occur.

3.5. Employer shall reimburse employee for all necessary expenses incurred by employee while traveling or some other additional job pursuant to employer’s directions.

4. BENEFITS

4.1. Both parties will comply with the Company policy regarding Employee benefits or as required by law.

4.2. In consideration for services rendered, a health insurance plan shall be offered to the Employee.

4.3. Insurance and other benefits will be offered to Employee at the end of the probationary period.

4.4. Death Benefits. Should Employee die during the term of employment, the Company shall pay to Employee's estate any compensation due through the end of the month in which death occurred.

4.5. Vacation. Employee will earn five (5) weeks of vacation annually, accrued pro-rata throughout the year.

4.6. Public Holidays. The employee will be entitled to all official public holidays on full pay.

4.6.1. If an Employee does not work on a public holiday, he/she shall receive normal payment for that day.

4.6.2. If the Employee works on a public holiday he/she shall be paid double.

4.7. Sick Leave. During the first year of employment the Employee will entitled to one day’s paid sick leave for every twenty six (26) days worked.

4.7.1. The Employee is to notify the Employer as soon as possible in case of his/her absence from work through illness.

5. PROFESSIONAL CONDUCT:

5.1. Company expects its Employees to behave in a professional, business-like manner at work and whenever representing the Maersk logistics

5.2. Employees also are accountable for behavior outside of work that negatively affects their ability to perform their responsibilities on the job.

5.3. Employees should report to work on time and prepared for the workday.

6. EMPLOYEES` DUTIES AND RESPONSIBILITIES:

• Discover profitable suppliers and initiate business and organization partnerships;

• Negotiate with external vendors to secure advantageous terms;

• Approve the ordering of necessary goods and services;

• Finalize purchase details of orders and deliveries;

• Track and report key functional metrics to reduce expenses and improve effectiveness;

• Collaborate with key persons to ensure clarity of the specifications and expectations of the company;

• To undertake training and attend meetings as required and directed by your line manager;

• Assist with the customers cash flow;

• Developing external relationships with appropriate contacts, e.g. bankers and financial organizations such as Moneygram, Ria, Western Union etc;

• Keep a watch on the cash transaction that are taking place;

• Handling cash transactions with customers;

• Collect payments and make orders;

• Keep reports of transactions;

TRAINING & PROGRESSION

As part of a graduate scheme, you’ll receive formal training in the various systems, products, services and functions. You’ll also receive practical training through structured rotations across various departments such as sales and marketing, customer service, operations, credit policy and risk management. Opportunities for career progression are strictly based on merit and driven by performance, achievement of set targets, flexibility and your willingness to move. Experienced and talented employees can also move into senior management positions.

7. WORK HOURS/ SCHEDULE/ POSITION TITLE/WORK LOCATION

7.1. Work Hours. The standard hours of work for Maersk logistics are ten – fifteen (10-20) hours per week. Employees are compensated for work time that exceeds standard hours at a rate of one hundred dollars ($100.00 USD) per hour provided that overtime work is approved in advance.

7.2. Schedule. Employee accepts and agrees to work for the Company five (5) days per week.

7.2.1. The Company’s core hours of operation are Monday to Friday.

7.2.2. Employees are expected to work a minimum of ten (10) hours per week, with flexible hours.

7.3. Position Title. Employee accepts and agrees to work under the position of Logistics Agent

7.3.1. Employee agrees to be hired on a part-time position.

7.4. Work Location. Employee will primary perform their duties at home or home office.

8. PROBATION

8.1. Probation period will apply for the first one (1) month of employment. During this time Employer will assess Employees progress and performance in the position. At the end of this period, provided a satisfactory standard is achieved and maintained, employment will be confirmed.

8.2. Employer may end Employees probation earlier than the appointed time of one (1) month by providing notice.

8.3. In the event of unsatisfactory progress, the probationary period may be extended by providing notice; prolongation should not exceed a total of sixty (60) days.

8.4. Throughout the probationary period the Employer shall pay Employee the full amount of compensation, namely monthly payment at a rate equal to the sum $ 3600

9. CORPORATION PROPERTY

9.1. The Employee acknowledges that all files, customer records, lists, books, records, literature, software, products and work products developed by the Employee in the course of his/her employment with the Employer, and other materials owned by the Employer or used by the Employer in connection with the conduct of business by the Employer shall at all times remain the sole property of the Employer, and the Employee agrees that upon request and upon termination of the Employee’s employment hereunder, howsoever arising, the Employee shall surrender to the Employer all such files, customer records, lists, books, records, literature, products, software, work products, and any copies thereof and all other property belonging to the Employer.

9.2. Employee acknowledges and agrees that while employed by the Corporation the Employee may be provided with use of computer equipment and other property of the Corporation. The use and possession of such items shall be subject to any policies, requirements or restrictions established by the Corporation. Such items may only be used in performance of the Employee’s duties for the corporation. On request of the Corporation, the Employee shall immediately deliver any such items to the Corporation Upon termination of employment, Employee shall have the affirmative duty to return any such item to the Corporation whether a request is made or not. The obligation to return Corporation property shall extend and include any and all work product, client property, proprietary rights, intangible property, and all other property of the corporation regardless of the form or medium.

10. TERMINATION OF EMPLOYMENT

10.1. During the Employee’s probationary period, this employment may be terminated by either party giving two (2) weeks’ notice to the other.

10.2. After the Employee’s probationary period: the Employee shall give the Employer one (1) months notice of his/her intention to terminate this employment.

10.3.All notices of termination shall be given in writing.

11. APPLICABLE LAW

11.1. The provisions of this Agreement shall be construed in accordance with the laws of the State of New York.

12. ENTIRE AGREEMENT

12.1. The terms and conditions referred to in this letter constitute all of the terms and conditions of employment and replace any prior understanding or agreement between Employee and the Employer.

12.2. The terms and conditions referred to in this letter may only be varied by a written agreement signed by both Employee and the Employer.
